By accessing and using Vestanam's services, you accept and agree to be bound by the terms and provision of this agreement.

These Terms of Service apply to all users of our services, including without limitation users who are browsers, vendors, customers, merchants, and/or contributors of content.

Please read these Terms of Service carefully before accessing or using our website and services. If you do not agree to all the terms and conditions of this agreement, you may not access the website or use any services.

Permission is granted to temporarily download one copy of the materials on Vestanam's website for personal, non-commercial transitory viewing only. This is the grant of a license, not a transfer of title, and under this license you may not:

• Modify or copy the materials

• Use the materials for any commercial purpose or for any public display

• Attempt to decompile or reverse engineer any software contained on our website

• Remove any copyright or other proprietary notations from the materials

This license shall automatically terminate if you violate any of these restrictions and may be terminated by Vestanam at any time.

Our services include AI development, cloud consulting, product engineering, and related technology solutions. By engaging our services, you agree to:

• Provide accurate and complete information required for service delivery

• Cooperate with our team and provide reasonable access to necessary resources

• Comply with all applicable laws and regulations in your use of our services

• Not use our services for any unlawful or prohibited activities

Service availability and specifications may vary based on your agreement and subscription level.

We are committed to protecting your privacy and personal data. Our Privacy Policy, which is incorporated into these terms by reference, details how we collect, use, and protect your information.

You retain ownership of any data you provide to us. We use your data solely to deliver requested services and improve our offerings.

We implement appropriate technical and organizational measures to protect your data against unauthorized access, alteration, disclosure, or destruction.

For clients in the EU, we comply with GDPR requirements. For healthcare clients, we maintain HIPAA compliance where applicable.

All intellectual property rights in our services, including software, documentation, methodologies, and know-how, remain the exclusive property of Vestanam.

Custom solutions developed specifically for your organization will be owned by you, subject to our retention of underlying intellectual property rights.

You grant us the right to use your feedback, suggestions, and ideas for improving our services without compensation.

We respect third-party intellectual property rights and expect our clients to do the same.

Payment terms are specified in your service agreement. Unless otherwise agreed, invoices are due within 30 days of the invoice date.

Late payments may incur additional charges as specified in your agreement.

All fees are non-refundable unless expressly provided otherwise in your service agreement.

We reserve the right to suspend services for accounts with overdue payments.

Pricing may be subject to change with reasonable notice for ongoing services.

In no event shall Vestanam or its suppliers be liable for any damages (including, without limitation, damages for loss of data or profit, or due to business interruption) arising out of the use or inability to use our services.

Our total liability to you for all claims relating to our services shall not exceed the amount paid by you for the specific service giving rise to the claim.

This limitation applies whether the claims are in warranty, contract, tort (including negligence), or otherwise.

Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitation or exclusion may not apply to you.

Specific service level commitments are detailed in your service agreement and may include uptime guarantees, response times, and performance metrics.

Service credits may be available for failure to meet specified service levels, as outlined in your agreement.

Scheduled maintenance windows and emergency maintenance are excluded from service level calculations.

Force majeure events, third-party service outages, and client-caused issues are excluded from our service level commitments.

Either party may terminate the service agreement with written notice as specified in the agreement.

We may terminate or suspend access immediately, without prior notice or liability, for any reason whatsoever, including breach of these Terms of Service.

Upon termination, your right to use our services will cease immediately. We will provide reasonable assistance in data migration subject to the terms of your agreement.

Provisions that by their nature should survive termination will survive, including ownership provisions, warranty disclaimers, and limitations of liability.

These terms and conditions are governed by and construed in accordance with the laws of California, United States.

Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts of California.

If any provision of these Terms of Service is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
